Why do I need a registered agent?
- Every company forming or qualifying within a jurisdiction needs to appoint a registered agent with the jurisdiction’s governing office.
What does a registered agent do?
- A registered agent is an entity or individual named with the governing office to accept Service of Process (notification of legal proceedings) and all official notices from the jurisdiction on behalf of the company. This appointment is usually made within the initial certificate of incorporation or certificate of formation. It can also be done within a foreign qualification filing when applying to transact business in a state where you are not organized. In addition, if you decide, after the initial appointment, to change the Registered Agent, you can do this at any time by filing a Change of Agent document at the applicable Secretary of State's office.
Where does ISL provide registered agent service and what is the fee?
- ISL provides registered agent service in all 50 states, as well as the District of Columbia. The annual fee is $100 per company, per state.* This fee is due to ISL each year on the anniversary month of when ISL became registered agent for your company. To avoid ISL resigning as your registered agent, it is imperative that payment be made promptly upon receipt of a renewal notice. To allow time for payment, invoices are mailed two months before the anniversary date.
* Additional fees will apply if you receive more than two Services of Process(SOP) in any given month; contact ISL for these fees.
Can I switch my registered agent service to ISL?
- Absolutely and we will even prepare and file the forms without charging a service fee. (Jurisdictional fees may apply.)
When can I use the registered agent address?
- You may use ISL’s address when incorporating, forming or qualifying an entity and you need to provide an address where governmental mail and legal papers can be delivered. The registered agent address should never be listed as the company’s physical address nor should it appear on your company’s letterhead, other stationary items or communications such as websites.
Does ISL offer any representation for special cases?
- Yes! Examples of special registered agent representation include designation for business licenses, mortgage licenses and Pharmacy Board applications. Please contact ISL’s Client Services Department for more information.
What other information is important to know?
- As your registered agent, it is both important and required that you keep ISL informed of any changes to your contact information such as address, phone number and e-mail. Neglecting to update ISL with this information can cause delayed receipt of annual reports and/or notifications. These reports/notifications have deadlines that your company must meet and failure to meet these deadlines may cause your company to fall into defunct status with the jurisdiction’s governing office.

- ISL can remind you of critical deadlines that are necessary
to keep your company in good standing, and then follow up to
confirm your payments and filings were accepted.
- Headquarter Services (in Delaware only)
- ISL is ready to accept telephone, fax and e-mail messages for your company. Telephone calls are answered with a generic "Corporate Headquarters" message. A record is kept of all messages received and they will be forwarded to your company on a weekly basis, unless other arrangements are made.
